Terms of Service

By creating an account, connecting an exchange, or otherwise using the MindAI platform (the “Service”), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of a company or fund, you represent that you have authority to bind that entity, and “you” refers to that entity.

If you do not agree to these terms, do not use the Service.

MindAI is a monitoring and analytics copilot for derivatives traders. It observes the accounts you connect, surfaces risk, behavioral patterns, market context, and journals your activity.

• MindAI is not a broker, exchange, or custodian. We never hold your funds. Exchange connections use read-only or trade-scoped API keys that you control and can revoke at any time.
• MindAI does not provide financial advice. Alerts, agent responses, scores, and insights are informational tools, not recommendations to buy, sell, or hold any asset.
• Trading derivatives is risky. Leveraged trading can result in losses exceeding your deposit. You are solely responsible for your trading decisions.

You must be at least 18 years old and legally able to enter into contracts to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You agree to provide accurate registration information and to keep it current. We may suspend accounts that provide false information or that we reasonably believe are compromised.

The Service works by connecting to third-party exchanges via API keys you supply. You remain the owner of those keys and the data they expose. You agree to:

• Only connect accounts you own or are authorized to manage.
• Grant the minimum permissions the feature requires (read-only where possible; withdrawal permissions are never required and should never be granted).
• Comply with each exchange's own terms of service.

We are not responsible for outages, rate limits, data errors, or actions taken by the exchanges you connect.

You agree not to:

• Reverse engineer, scrape, or programmatically extract data from the Service outside documented APIs.
• Use the Service to violate any law, regulation, or third-party right, including market-abuse rules.
• Resell, sublicense, or share your account or agent credits without our written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload malicious code or attempt to gain unauthorized access to our systems or other users' data.

Paid plans and agent credits are billed in advance on a recurring basis and are non-refundable except where required by law. Unused monthly credits do not roll over unless your plan says otherwise.

We may change pricing with at least 30 days’ notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing. You can cancel at any time from Settings → Billing; access continues until the end of the paid period.

The Service, including its software, design, models, and content (excluding your data), is owned by MindAI Labs and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal trading activity.

You retain all rights to the data you connect and the journal content you create. You grant us a license to process that data solely to operate and improve the Service, as described in the Privacy Policy.

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that alerts will be timely, that data from exchanges will be accurate or complete, or that the Service will be uninterrupted or error-free. Market data can be delayed, and automated analysis can be wrong.

To the maximum extent permitted by law, MindAI Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, trading losses, or loss of data, arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising out of these terms or the Service will not exceed the amounts you paid us in the twelve months preceding the claim.

You may stop using the Service and delete your account at any time from Settings → User. We may suspend or terminate your access if you materially breach these terms, if required by law, or if continued provision would create security or legal risk. Where practical, we will give you notice and a chance to export your data.

We may update these terms from time to time. For material changes we will notify you by email or in-app at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised terms.

These terms are governed by the laws of the jurisdiction in which MindAI Labs is incorporated, without regard to conflicts of law principles. Disputes will be resolved in the courts of that jurisdiction.
